11/December/2008 - MainStreet undertakes self revision The Meeting began with the review of the approval of three previous meeting agendas and past treasury reports. The meeting briefly went into executive session to discuss a personnel matter, as well as to discuss a financial matter. When returning to the open meeting, the MainStreet board examined the recommendations made to the organization by a hired accountant on proper procedures for checks for payments of the organization. The Treasurers report was then followed by MainStreet's Grant Write, who reported on the progress of several grants that she is working on with various organizations that are partaking of the Grant Writer Program. As part of the Grant Writers report, the MainStreet Board moved and approved the directing of sending the Grant Writer and a board member to an upcoming seminar in Albuquerque, on Jan 17, 2009, that concerns fundraising. The seminar will pertain to the ins and outs of improving and holding fund raising for non profit organizations. Under old business, the board had previously sought the assistance from the MainStreet organization in terms of revision of their bylaws. These revisions relate to matters such as authority of members, procedures of committees and the organization, basic policies and membership. Copies of the suggested revisions were distributed and board members were instructed to take their copies home to study for the next meeting, The next item under Old Business was the current status of the Luna Theatre project. Board members who attended the November Clayton Town Council meeting to present the purchase agreement before the council shared with the board what had occurred. The Town of Clayton Attorney Robert Beck had requested a MOU which was written and presented shortly thereafter. It was determined that the purchase agreement will be on the agenda of the next Town Council meeting as will the MOU. With approval of the purchase agreement and the MOU that states the separate responsibilities of the Town and those of MainStreet, the purchase agreement will move on to the state MainStreet organization. Under New Business, copies of financial strategy suggestions for survival during the economic downturn, made for the Clayton MainStreet were distributed to board members. These too will be examined for the next meeting. The last of the big items were the reports of the committees and the confirmation of committee Chairs. Clayton MainStreet has four committees, Economic Positioning, Promotions, Organization, and design, which are required committees to address the four required statues of a MainStreet organization. As part of the reports, discussion was also conducted on increasing membership and participation of these four committees. Also, the board put forth various names to be Chairs of the committees, with those present either accepting or turning down the offers. Two Chairs were appointed of persons not present. With the conclusion of the committee Chair's appointments, the meeting was adjourned at 8:15PM, with the next meeting being a board retreat for new board members on January 9-10m and the regular meeting being on January 12, at 6:30 PM, at Farmers and Stockmen's Bank meeting room.
